By accessing or using the website nestorzumaya.com (the “Site”), operated by Néstor Zumaya and Zumaya LLC (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use the Site. We reserve the right to update these Terms at any time. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

The Site provides information about our medical communications consulting services, including but not limited to medical writing, content development, clinical review, healthcare needs assessments, patient education materials, and Spanish-language adaptation services. The Site also provides access to a contact form, email newsletter subscription, and a client document upload feature.

The information provided on the Site is for general informational purposes only and does not constitute medical advice, diagnosis, or treatment. Nothing on this Site should be construed as a substitute for professional medical advice.

6. Client Document Uploads

The Site provides a feature for clients to upload documents for review and collaboration purposes. By uploading a document, you represent and warrant that:

  1. You have the right to share the document with us

  2. The document does not infringe upon the intellectual property rights of any third party

  3. You assume full responsibility for the content of the uploaded documents

We will treat uploaded documents as confidential and will only use them for the purposes for which they were submitted. However, we cannot guarantee the security of documents transmitted over the Internet. You acknowledge and accept this risk.

By subscribing to our newsletter, you consent to receive periodic emails from us. 11. Indemnification

You agree to defend, indemnify, and hold harmless Néstor Zumaya and his affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorney’s fees) arising from: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any content you submit through the Site.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Site shall be resolved exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the personal jurisdiction of such courts.

For users in the European Union, nothing in these Terms shall limit your rights under mandatory consumer protection laws in your country of residence. You may also be entitled to bring proceedings in the courts of your country of residence.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Néstor Zumaya regarding your use of the Site and supersede all prior agreements and understandings, whether written or oral, regarding the same subject matter. These Terms do not govern the provision of professional services, which are subject to separate client agreements.
